Hamilton files registration statement for IPO

P&C insurer Hamilton has filed a registration statement on Form S-1 with the US Securities and Exchange Commission, relating to a proposed underwritten initial public offering of its common shares. Hamilton intends to apply to list the common shares on the New York Stock Exchange under the ticker symbol “HG”.

The number of common shares to be offered and the price range for the proposed offering have not yet been determined.

Barclays and Morgan Stanley are acting as joint lead nookrunning managers for the proposed offering.

The company almost tripled its gross premiums written over the last five years, from $571 million for the year ended November 30, 2018 to $1.6 billion for the year ended December 31, 2022.

Combined ratio for the year ended December 31, 2022, adjusted for Ukraine losses, was 96.4%. Additionally, the combined ratio for Hamilton’s international segment for the year ended December 31, 2022, adjusted for Ukraine losses, was 92.5% and the combined ratio for its Bermuda Segment for the year ended December 31, 2022, adjusted for Ukraine losses, was 101%.
